Corporate Maintenance

Corporation Maintenance

A California for-profit corporation should perform certain critical tasks to maintain its good standing with state and federal authorities, avoid penalties, and preserve its separate existence as a legal entity. We at Lowenthal are available to provide corporate maintenance checklists, perform annual maintenance, maintain and update corporate records annually, review organizational documents, such as articles of incorporation or bylaws, review buy-sell provisions, update policies and internal agreements, and help clients evaluate significant changes or events. During any corporate maintenance review, business attorney Justin Lowenthal will look for things like corporate vacancies, improper use of fictitious business names, conflicting policies or agreements, missing resolutions or board actions, and unlawful business operation in a foreign jurisdiction.

Corporate maintenance reviews should be scheduled at least annually and we at Lowenthal offer flexible fee arrangements to accommodate private businesses of all size.

For questions or inquiries, or to schedule a consultation with Attorney Justin Lowenthal, please do not hesitate to contact us. We look forward to being of service.
